1. Acceptance of Terms
By accessing or using any part of our services, you accept and agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our services.
2. Services Provided
ADBLIZ offers digital marketing, web design, e-commerce solutions, graphic design, and related services (collectively, “Services”). Specific terms, deliverables, and pricing for each project will be outlined in a separate agreement or project proposal and are incorporated into these Terms by reference.
3. Client Responsibilities
You agree to:
- Provide accurate information: Ensure that all details, content, and materials provided to ADBLIZ are accurate, complete, and up-to-date.
- Timely communication: Respond to ADBLIZ inquiries, feedback requests, and approvals within a reasonable timeframe to avoid delays in the project.
- Compliance with laws: Adhere to all applicable laws and regulations when using our services, particularly for user-provided content and materials.
4. Payment Terms
Payment terms will be defined in the individual project proposal or agreement. All invoices are due upon receipt unless otherwise specified. Failure to pay on time may result in suspension of services until payment is received.
a. Late Payment
Late payments may incur additional charges. Continued non-payment may lead to termination of services.
b. Refund Policy
Due to the nature of digital services, ADBLIZ does not offer refunds for completed work. We will, however, work with you to resolve any issues related to deliverables.
5. Intellectual Property and Ownership
a. Client Content
You retain ownership of all materials and content you provide to ADBLIZ for project purposes. You grant ADBLIZ a license to use this content solely for the purpose of fulfilling the project.
b. ADBLIZ Content
ADBLIZ retains ownership of all proprietary tools, methodologies, software, and assets created by ADBLIZ before or during the project, except where otherwise specified. Upon full payment, ownership of the final deliverables is transferred to the client.
6. Use of Adbliz Workspace
ADBLIZ provides “Adbliz Workspace,” a project management system that enables clients to manage projects, estimates, invoices, and support.
a. Access and Use
Clients are granted access to Adbliz Workspace for the duration of the project. You agree to use this system solely for managing project-related activities and will not misuse or interfere with its operation.
b. Account Security
Clients are responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account. Notify ADBLIZ immediately of any unauthorized access or use.
7. Confidentiality
Both parties agree to maintain the confidentiality of any non-public, proprietary information shared in the course of a project. This obligation remains in effect after the project is completed and applies to both ADBLIZ and the client.
8. Limitation of Liability
To the fullest extent permitted by law, ADBLIZ shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with our services, including loss of profits, data, or business opportunities. ADBLIZ’s total liability to you for any claims arising from these Terms or our services is limited to the amount paid by you for the relevant service.
9. Termination of Services
Either party may terminate the project or services by providing written notice. Termination does not relieve the client of any outstanding payment obligations. Upon termination, ADBLIZ will provide all completed work to the client and retain any prepayments made for work completed to date.
10. Changes to Terms and Conditions
ADBLIZ reserves the right to modify or replace these Terms at any time. If changes are made, we will provide notice by updating the effective date. Continued use of our services following any such changes constitutes your acceptance of the new Terms.
11. Dispute Resolution
In the event of a dispute arising from these Terms, both parties agree to attempt to resolve the matter amicably through good-faith negotiation.
